1.The service provider and scope of these terms
The services are provided by IT-Wan Kft. (the “Provider”; brand name: IT-Wan Agency). Full company details are in the “Company details” block at the top of this page. Contact e-mail: [e-mail].
These terms apply to every contract between the Provider and a natural person, legal entity or other organisation ordering the Provider’s services (the “Client”), unless the parties agree otherwise in writing. A written agreement or an accepted Quote prevails over these terms.
A “consumer” is a natural person who enters into a contract for purposes outside their trade, business or profession. Where these terms say so, the consumer rules apply only to Clients who are consumers, and the business rules apply to Clients who are not (B2B).
2.Scope of services
The Provider designs, builds and operates client acquisition systems. Depending on the individual quote, the services may include:
- website design and development (presentation site, landing page, multi-page website);
- setting up a CRM system to manage leads and customers;
- setting up an online appointment booking system;
- e-mail and SMS based automated follow-up, notifications and campaigns;
- AI Voice assistant: setup and operation of an artificial-intelligence phone assistant (see also the AI Voice Terms).
The exact content, scope and deadlines are always set out in the accepted Quote. Anything not included in the Quote is not part of the service; additional requests require a separate agreement.
Services may rely on third-party systems (e.g. hosting, e-mail and SMS providers, telephony providers, booking or CRM platforms, AI models). The relevant third party is responsible for the availability and terms of its own service; the Provider acts with reasonable care in its relationship with them.
3.Requests and quotes
Information published on the website, the diagnostic quiz and any prices shown there are for information only and are not a binding offer. Completing the quiz or contacting us is not an order.
Based on the prospective Client’s needs, the Provider prepares a personalised written quote (the “Quote”). The Quote sets out, in particular, the description of the service, the fee and when it falls due, the delivery time and how long the Quote remains valid.
Unless the Quote states otherwise, it binds the Provider for 14 days from the date it is sent. After that, the Provider may change the Quote.
4.Prices
The starting price shown on the website is a one-time fee from HUF 390,000 for a website and client acquisition system. The actual price depends on the requested features, pages, integrations and automations and is fixed in the Quote.
The Quote states clearly whether the price is net or gross and how value added tax (VAT) is applied. For consumers, the gross total including VAT is always stated.
The fees for AI Voice and any other ongoing (subscription) services are set out in the Quote, split into one-off and recurring items. Third-party costs (e.g. domain, hosting, SMS and call usage) are charged to the Client only if the Quote expressly says so.
5.Ordering and formation of the contract
The contract is formed when the Client accepts the Quote in writing (by e-mail or electronic signature), or through an order form or contract signed by both parties. The Provider confirms in writing that the contract has been formed.
The language of the contract is Hungarian. The Provider stores the concluded contract electronically and makes it available to the Client on request.
By accepting the Quote, the Client declares that they have read and accept these terms. For contracts concluded at a distance by electronic means, the Provider follows the rules on electronic commerce services.
6.Payment
The Client pays the fee by bank transfer on the basis of the invoice issued by the Provider, following the schedule (e.g. advance payment and final invoice) and payment method stated in the Quote, unless the Quote specifies another method.
The Provider may make the start of work conditional on receiving the advance. If the Quote so provides, final handover or go-live may depend on payment of the full fee.
In the event of late payment, the Provider is entitled to statutory default interest under the Hungarian Civil Code (Act V of 2013, “Ptk.”). For contracts between businesses (B2B), the statutory lump-sum recovery cost under the Ptk. may also be charged.
For ongoing services, the Provider may suspend the service if the Client does not pay after a reminder; the Provider is not liable for damage caused by such suspension.
7.Delivery and acceptance
The delivery time is stated in the Quote. It runs from the moment the Client has supplied all required materials (texts, images, logo, access, decisions) in full and on time, and paid any required advance. If the Client is late, the deadline is extended by the length of the delay.
The Provider hands over the finished work, or parts of it (e.g. preview or test versions), electronically. The Client may report defects or omissions in writing within 5 working days of handover. If the Client reports no defects within that period, the work may be deemed accepted after a written reminder from the Provider; this does not affect the Client’s warranty rights.
Changes beyond the revision rounds set out in the Quote, and new requests outside the original brief, may incur additional fees.
8.Client’s obligations
- to provide the data, materials and access needed for delivery (e.g. domain, hosting, social and advertising accounts) on time, accurately and completely;
- to cooperate with the Provider and give requested feedback and approvals within a reasonable time;
- to ensure that they are entitled to use all content they supply (texts, images, logos, music, videos, data) and that it does not infringe third-party rights and is not unlawful or misleading;
- to comply with applicable law when using the systems, in particular data protection, consumer protection, advertising and electronic communications rules (e.g. obtaining consent for e-mail and SMS marketing, informing individuals where calls are recorded);
- to keep their access credentials confidential and notify the Provider immediately of any unauthorised use;
- to pay the fee as agreed.
The Client is responsible for the lawfulness of their own business activity and for processing personal data in their own systems where they act as the data controller.
9.Intellectual property
Unless the Quote provides otherwise, once the full fee has been paid the rights to use the bespoke works created by the Provider under the contract (e.g. the website’s graphic elements and custom texts) pass to the Client to the extent needed for the purpose of the contract, on a non-exclusive basis and without time or territorial limit. Moral rights remain with the author as provided by law.
The Provider’s pre-existing tools, templates, code libraries, methodology and know-how, and third-party software and content (e.g. open-source components, fonts, images, SaaS platforms), remain subject to their own licence terms; the Client may use them only as part of the service and within those licences.
Rights in content supplied by the Client remain with the Client or the original rights holder; the Client grants the Provider the right to use it as needed for delivery. With the Client’s prior consent, the Provider may show the work as a reference or in its portfolio.
10.Liability and its limits
The Provider performs the services with the professional care generally expected. The Provider does not guarantee specific business results (e.g. traffic, enquiries, conversion, revenue, search engine ranking), because these depend on many factors outside its control.
The Provider is not liable for outages or errors of third-party services, force majeure, or damage caused by unlawful, in-breach or negligent conduct of the Client or a third party.
For Clients that are businesses (B2B), the Provider’s liability for breach of contract is limited to the net fee under the contract, and the Provider is not liable for lost profit or indirect and consequential loss, except to the extent the law does not allow this.
This limitation does not apply to damage caused intentionally, to damage to life, bodily integrity or health, to damage caused by a criminal offence, or where the law does not permit liability to be limited or excluded. Nothing in these terms limits a consumer’s mandatory statutory rights.
11.Confidentiality
Each party must keep confidential any trade secret or confidential information learned while performing the contract (in particular business plans, customer and pricing information, access credentials and technical solutions), must not disclose it to third parties, and must use it only to perform the contract.
This does not apply to information that is public, was lawfully obtained without a confidentiality duty, or must be disclosed by law, a court or an authority. Confidentiality continues after the contract ends.
12.Termination
A fixed-term or one-off contract ends on completion of the work or expiry of the term. The parties may terminate the contract at any time by mutual agreement.
For ongoing (subscription) services, the notice terms are set out in the Quote; if none are stated, either party may terminate in writing with 30 days’ notice.
Either party may terminate with immediate effect if the other seriously breaches the contract and does not remedy the breach within a reasonable period set in a written notice.
On termination, the Client must pay for work already done and services already provided. Any fee already paid is refunded after deducting the Provider’s justified costs and the services already delivered.
13.Right of withdrawal (consumers)
For contracts concluded at a distance (e.g. by e-mail or online) between a business and a consumer, the consumer has a 14-day right to withdraw without giving a reason under Government Decree 45/2014 (II. 26.) on the detailed rules of contracts between consumers and businesses. For service contracts, the withdrawal period starts on the day the contract is concluded.
The consumer may exercise the right by an unambiguous statement (e.g. an e-mail to the Provider’s contact address above). On request the Provider supplies a model withdrawal form; using it is optional.
If the consumer expressly asks the Provider to start the service before the withdrawal period ends, the consumer must pay the Provider a proportionate amount for what has been provided up to the moment of withdrawal.
If the service has been fully performed with the consumer’s express prior consent and the consumer has acknowledged that they lose the right of withdrawal once it is fully performed, the right of withdrawal ends. The law may provide further exceptions, for example for services made to the consumer’s specification.
The right of withdrawal belongs only to consumers. Business (B2B) Clients have no statutory right of withdrawal; withdrawal from the contract and its consequences are governed by the general rules of the Ptk. or by separate agreement.
14.Warranty for defective performance
If performance is defective, the Provider is liable under the warranty rules of the Ptk. The Client may, at their choice, request repair or replacement, unless this is impossible or would cause the Provider disproportionate extra cost. If repair is not possible, the fee may be reduced proportionally and, as a last resort, the Client may withdraw from the contract.
Warranty claims may be asserted within the periods set by law; for consumers, under the mandatory consumer protection rules. The Client must report a defect within a reasonable time after discovering it.
It is not a defect where the problem results from the Client’s instructions, a third-party system, a factor outside the Provider’s control or unauthorised intervention by the Client or a third party.
15.Complaints and dispute resolution
The Client may submit comments and complaints about the service, orally or in writing, to the Provider ([e-mail], [telefonszám / phone]; postal address: [székhely / registered office]). The Provider investigates the complaint and sends a reasoned written reply within 30 days. For consumer complaints, the Provider keeps a record and retains it for the period required by law.
If a complaint is rejected, the Provider tells the consumer which authority or conciliation board they can turn to. A consumer may contact:
- the consumer protection department of the government office competent for their place of residence;
- the conciliation board (békéltető testület) at the county (or Budapest) chamber of commerce and industry competent for the consumer’s place of residence or stay, or the Provider’s registered office. The Provider must cooperate in conciliation board proceedings, including sending a reply and attending the hearing;
- the courts — the consumer may choose between the general rules on jurisdiction and the court competent for their place of residence or stay.
Contact details of the conciliation boards are available on the websites of the relevant chambers of commerce and industry. The Provider gives further information on alternative dispute resolution on request.
16.Data protection
The Provider processes personal data as set out in the Privacy Notice and in accordance with applicable law, in particular Regulation (EU) 2016/679 (GDPR) and Act CXII of 2011 on informational self-determination and freedom of information (Infotv.). The use of cookies is covered by the Cookie Notice, and data handling in the AI Voice service by the AI Voice Terms.
Where the Provider processes the personal data of the Client’s customers on the Client’s behalf (e.g. in a CRM, booking or AI Voice system), the parties will, once their roles under the GDPR are established, enter into a separate data processing agreement where required.
17.Governing law and jurisdiction
The contract and these terms are governed by Hungarian law, in particular the Ptk., Act CLV of 1997 on consumer protection, Act CVIII of 2001 on electronic commerce and information society services, and Government Decree 45/2014 (II. 26.).
The parties will first try to settle disputes by negotiation. If that fails, for disputes between businesses (B2B) the parties submit, where the law allows, to the exclusive jurisdiction of the court competent for the Provider’s registered office. For consumers, the mandatory rules on jurisdiction apply.
18.Final provisions
The Provider may amend these terms unilaterally. Amendments apply to contracts concluded after they are published; existing contracts remain governed by the terms in force when they were concluded, unless the amendment is required by a change in law or the Client expressly accepts it.
If any provision of these terms is invalid or unenforceable, the remaining provisions are unaffected. This version is effective from 28 October 2026.
